Terms of Service

Welcome to RentMata. These Terms of Service ("Terms") govern your access to and use of the RentMata platform, including our website, mobile applications, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
1. Definitions
- "RentMata," "we," "us," or "our" refers to RentMata and its affiliates, subsidiaries, officers, directors, employees, and agents.
- "User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.
- "Landlord" or "Subscriber" refers to property owners or managers who list properties on the Platform.
- "Tenant" refers to individuals seeking to rent properties through the Platform.
- "Content" refers to all information, text, images, data, or other materials uploaded, submitted, or displayed on the Platform.
- "Listing" refers to property advertisements posted by Landlords on the Platform.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age and possess the legal authority to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.
2.2 Account Registration
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account.
2.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or conduct that we determine to be harmful to other Users or to RentMata.
3. Platform Services
3.1 Nature of Services
RentMata provides a technology platform that connects Landlords and Tenants. We are not a real estate broker, property manager, or party to any rental agreement between Users. RentMata does not own, manage, or control any properties listed on the Platform.
3.2 No Guarantee
We do not guarantee the accuracy, completeness, or reliability of any Listings, User Content, or information provided on the Platform. We do not guarantee that you will find a suitable property or tenant, or that any transaction will be completed successfully.
3.3 Verification Services
RentMata offers verification services including identity verification (NIN), liveliness checks, and employment verification. While we strive to provide accurate verification, these services are provided "as is" and we do not guarantee their accuracy or completeness. Users should conduct their own due diligence before entering into any rental agreements.
4. Fees and Payment
4.1 Subscription Fees
Landlords are required to pay subscription fees to list properties on the Platform. Current pricing is available on our Pricing page. All fees are quoted in Nigerian Naira (NGN) and are non-refundable unless otherwise stated.
4.2 Tenant Fees
Tenants are required to pay application fees and verification fees as specified on our Pricing page. These fees are non-refundable once the service has been rendered.
4.3 Payment Processing
All payments are processed through secure third-party payment processors. By making a payment, you agree to the terms and conditions of the applicable payment processor. RentMata is not responsible for any errors or issues arising from payment processing.
4.4 Subscription Cancellation
You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds will be provided for partial billing periods.
4.5 Inactive Subscriptions
If your subscription lapses, your property listings will be removed from the homepage and marked as "unavailable for rent" in search results. Listings will be restored upon subscription renewal.
5. User Conduct and Responsibilities
5.1 General Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- Post false, misleading, or fraudulent information
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Platform or servers or networks connected to the Platform
- Attempt to gain unauthorized access to any portion of the Platform or any other accounts, systems, or networks
- Use any automated means to access the Platform or collect data from it
- Harass, threaten, or intimidate other Users
- Circumvent any measures we use to restrict access to the Platform
5.2 Landlord Responsibilities
Landlords agree to:
- Provide accurate and complete information about properties
- Have legal authority to list the property for rent
- Ensure properties meet all applicable safety and legal requirements
- Respond to inquiries from potential Tenants in a timely manner
- Not discriminate against Tenants on the basis of race, color, religion, sex, national origin, disability, or any other protected characteristic
- Comply with all applicable landlord-tenant laws and regulations
5.3 Tenant Responsibilities
Tenants agree to:
- Provide accurate information during the application and verification process
- Conduct their own due diligence before entering into any rental agreement
- Communicate honestly with Landlords
- Comply with all applicable laws and the terms of any rental agreement
6. Content and Intellectual Property
6.1 User Content
You retain ownership of any Content you submit to the Platform. By submitting Content, you grant RentMata a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform such Content in connection with the Platform and RentMata's business.
6.2 Content Standards
You are solely responsible for your Content. You represent and warrant that you own or have the necessary rights to submit the Content and that the Content does not violate any third-party rights or applicable laws.
6.3 RentMata Intellectual Property
The Platform, including its design, features, functionality, and all associated intellectual property rights, is owned by RentMata. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
6.4 Content Removal
We reserve the right to remove any Content that violates these Terms or that we deem inappropriate, without prior notice and at our sole discretion.
7. Disclaimers and Limitation of Liability
7.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, RENTMATA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7.2 No Liability for User Conduct
RentMata is not responsible for the conduct of any User on or off the Platform. We do not guarantee the identity, background, or trustworthiness of any User. You assume all risks when interacting with other Users and when entering into rental transactions.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENTMATA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF RENTMATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.4 Cap on Liability
RENTMATA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO RENTMATA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN THOUSAND NAIRA (NGN 10,000), WHICHEVER IS GREATER.
8. Indemnification
You agree to indemnify, defend, and hold harmless RentMata, its affiliates, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any Content you submit to the Platform; or (e) any rental transaction you enter into with another User.
9. Dispute Resolution
9.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
9.2 Dispute Resolution Process
In the event of any dispute arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at support@rentmata.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue formal dispute resolution.
9.3 Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties. The decision of the arbitrator shall be final and binding.
9.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
10. Transactions Between Users
10.1 Independent Transactions
RentMata is not a party to any rental agreement or transaction between Users. Any agreement, contract, or arrangement entered into between a Landlord and Tenant is solely between those parties. RentMata has no obligation to mediate or resolve disputes between Users.
10.2 No Rent Collection
RentMata does not hold or collect rent payments on behalf of Users. We provide a platform for tracking and documenting transactions, but all financial arrangements are made directly between Landlords and Tenants.
10.3 Due Diligence
Users are strongly encouraged to conduct their own due diligence before entering into any rental agreement. This includes verifying property ownership, inspecting properties in person, and confirming the identity and background of other Users through independent means.
11. Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentMata regarding your use of the Platform and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
13.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
13.5 Force Majeure
RentMata shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
